Terms of Service for Label Logic

These Terms of Service (“Terms”) govern your access to and use of the Label Logic service and the website located at https://besmartai.co (collectively, the “Service”), provided by Singular BI, LLC (“Company”, “we”, “us”, or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You may use the Service only if you:
Are at least 18 years old (or the age of majority in your jurisdiction); and
Have the authority to enter into a binding agreement with us; and
Are not prohibited from using the Service under any applicable law.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of the Service
Label Logic connects to your Gmail account to help you:
Create and manage rules for labeling and organizing emails;
Automatically apply labels, archive messages, and mark emails as read or unread;
Use AI-based suggestions to classify messages and generate new rules.
To provide this functionality, the Service may access and process your Gmail messages, labels, and related metadata as described in our Privacy Policy.
We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.
3. Your Google Account and Gmail Access
To use the Service, you must authorize Label Logic to access your Gmail account via Google’s OAuth process. You are responsible for:
Maintaining the security of your Google account credentials; and
Reviewing and understanding the permissions you grant to Label Logic during the OAuth consent flow.
You may revoke Label Logic’s access to your Google account at any time through your Google Account settings. If you revoke access, certain or all features of the Service may become unavailable.
4. Your Responsibilities
You agree that you will not:
Use the Service for any unlawful, fraudulent, or abusive purpose;
Attempt to access data for which you do not have permission;
Interfere with or disrupt the Service or its infrastructure;
Reverse engineer, decompile, or attempt to derive the source code of any part of the Service, except as permitted by law;
Circumvent or attempt to circumvent any security or usage restrictions.
You are responsible for all actions taken using your account and for ensuring that your use of the Service complies with all applicable laws, rules, and regulations.
5. Third-Party Services
The Service relies on third-party services, including but not limited to:
Google APIs (Gmail) for accessing and modifying your email and labels; and
AI providers (such as OpenAI) for generating label suggestions and related features.
Your use of Gmail and other Google services is also governed by Google’s terms and policies. We are not responsible for the availability, performance, or terms of any third-party services.
6. Fees and Payment
At this time, Label Logic may be offered free of charge or on a paid basis. If we introduce paid plans or subscriptions:
We will describe applicable fees on the website or within the Service; and
Your continued use of paid features will be conditioned on timely payment of those fees.
All fees, if any, are non-refundable except where required by law.
7. Intellectual Property
The Service, including all software, code, features, and content (other than your own data), is owned by Be Smart AI LLC or its licensors and is protected by intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal, personal, or business purposes.
You retain any rights you have in your own content and data. We do not claim ownership of your emails or Gmail account.
8. Feedback
If you provide feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify, and incorporate such Feedback into the Service without compensation to you.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected. We do not guarantee that the Service will correctly label or classify every message or that it will meet your specific requirements.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BE SMART AI LLC OR ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 3 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow limitations of liability, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Be Smart AI LLC and its owners, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
Your use of the Service;
Your violation of these Terms; or
Your violation of any applicable law or the rights of any third party.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe:
You have violated these Terms;
You are using the Service in a manner that could cause harm to us, other users, or third parties; or
It is necessary for security, legal, or operational reasons.
You may stop using the Service and revoke Gmail access at any time. Upon termination, the license granted to you under these Terms will immediately cease.
Sections that by their nature should survive termination (including, without limitation, intellectual property, disclaimers, limitations of liability, and indemnification) shall survive termination.
13. Changes to the Service or Terms
We may modify the Service or these Terms at any time. When we do, we will update the “Last updated” date above and may provide additional notice (for example, on the website or via email).
If you continue to use the Service after any changes to these Terms become effective, you will be deemed to have accepted the revised Terms. If you do not agree to the changes, you should stop using the Service and revoke access to your Gmail account.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict-of-law principles.
Any disputes arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Utah County, Utah, and you and we consent to the personal jurisdiction of such courts.

15. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms referenced or presented within the Service, constitute the entire agreement between you and Be Smart AI LLC regarding the Service and supersede any prior agreements or understandings.
